This response to Buyer's Purchase Order shall be construed and interpreted as a counter offer in its entirety and the terms and conditions set forth herein shall be the effective terms of any contract between the Buyer and Seller notwithstanding conflicting terms and conditions related to Buyer's Purchase Order. Seller's agreement to sell the Goods and contract formation are expressly conditioned to all of the terms and conditions set forth herein. This response to Buyer's Purchase Order is not an acceptance and may not be deemed such.

This Counter Offer shall govern all agreements and relations amongst the Buyer and Seller. There shall be no contract that exists between Buyer and Seller which does not contain these terms. All non-conflicting terms of the Purchase Order however, shall be incorporated by reference into this Counter Offer as long as such non-conflicting terms of the Purchase Order are submitted to Seller in writing. These terms and conditions may not be amended, altered or modified, including any terms and conditions incorporated by reference, except by mutually signed agreement. Seller agrees to sell only those Goods as are specifically and expressly requested on Buyer's Purchase Order.

• Warranty
Seller warrants that the Goods will be of merchantable quality, free from defects in workmanship, and conform to Buyer's material, size, and grade specifications, provided the specifications are submitted to Seller in writing prior to Seller's commencement of work to fulfill the Purchase Order. Buyer acknowledges that all other warranties, express or implied, are expressly excluded. Such expressly excluded warranties include, but are not limited to, warranty of fitness for a particular purpose, sufficiency for intended purpose, and product competitiveness in any manner. All warranties hereunder are made exclusively to Buyer and shall not be relied upon or inure to any other party regardless of privity to Buyer or Seller. In the event Buyer's manufacturing and/or assembly processes alter the dimensional characteristics, chemical properties, or metallurgical properties of the Goods, Seller's warranty shall be void.


• Definitions
"Goods" shall mean products being, or intended to be, sold by Seller to Buyer. For the purpose of this agreement, the words "Goods" and "Products" shall have the same significance.
